1. Eligibility: Shaklee 180® Rewards Program and Healthy Competition (the “Promotion”) consists of two parts: (1) a 90 day contest (the “90 Day Contest”) and (2) a 180 day contest ("180 Day Contest") which are skill-based contests, and as such, the winners will be selected on the basis of objective judging criteria (as set forth below) in Section 6. The Promotion is open only to legal residents of the fifty (50) United States, the District of Columbia and Puerto Rico who are at least eighteen (18) years old at the time of entry and who did not purchase any products or equipment for the sole purpose of entering the Promotion. Employees of Shaklee Corporation, ePrize, Inc., and any of their respective related companies, parents, subsidiaries, affiliates, and agents and any agencies or other companies involved in the development or execution of the Promotion or production or distribution of Promotion materials, as well as the immediate family (spouse, parents, siblings, and children) and household members of each such employee are not eligible. The Promotion is subject to all applicable federal, state, and local laws and regulations. Void where prohibited or restricted by law.

3. Agreement to Official Rules: By participating in the Promotion, entrant fully and unconditionally agrees to and accepts these Official Rules and the decisions of the Sponsor, Administrator and/or the judges, which are final and binding. Whether an entrant receives a prize is contingent upon fulfilling all requirements set forth herein.

4. Timing: The Promotion begins on January 15, 2013 at 12:00 a.m. Eastern Time ("ET") and ends on March 31, 2014 at 11:59 p.m. ET (the "Promotion Period"). The Promotion consists of the phases/periods outlined in the chart below.

5. How to Enter: During the Promotion Period, visit the Shaklee 180 Website www.myshaklee180.com, or download the Shaklee 180 Mobile App beginning on or around, January 30, 2013. Then, login and follow the links and instructions to register for the Shaklee 180 Program and upload a "before" photo of yourself along with your measurements and story for joining the Shaklee 180 Program. You may enter as a female, a male, or as a team of two (2). If you enter as part of a team, you will be asked to include your teammate's name on the registration form, and your teammate must confirm you will be participating together to be considered a team Submission. Upon completion of the 180 days or 90 days, you will be asked to provide an "after" photo of yourself along with your weight loss, measurements and an original written story about your transformation. Your "before" and "after" photos ("Photos"), and your original written transformation story ("Story") will collectively be referred to as your Submission ("Submission"). Your Submission must be uploaded during the applicable Submission Upload Period for the respective Phase as outlined in Section 4.

By uploading your Submission, you agree that your Submission conforms to the Submission Guidelines and Content Restrictions as defined below (collectively, the “Guidelines and Restrictions”) and that Sponsor, in its sole discretion, may remove your Submission and disqualify you from the Contests if it believes that your Submission fails to conform to the Guidelines and Restrictions.

Submission Guidelines:

  • The Photo must be in .jpg format;
  • The Photo must not exceed 5 MB in size;
  • The Story must not exceed 500 words in length;
  • The Story must be in English;
  • The Submission cannot have been submitted previously in a promotion of any kind or exhibited or displayed publicly through any means.

Content Restrictions:

  • The Submission must not contain material that violates or infringes another’s rights, including but not limited to privacy, publicity or intellectual property rights, or that constitutes copyright infringement;
  • The Submission must not contain brand names or trademarks, except for Sponsor's trademark for which entrant has a limited license to use for the sole purposes of creating and uploading a Photo into this Contest;
  • The Submission must not contain images or artwork not created by entrant;
  • The Submission must not contain material that is inappropriate, indecent, obscene, hateful, tortious, defamatory, slanderous or libelous or otherwise objectionable, in whole or in part;
  • The Submission must not contain material that promotes bigotry, racism, hatred or harm against any group or individual or promotes discrimination based on race, gender, religion, nationality, disability, sexual orientation or age; and
  • The Submission must not contain material that is unlawful, in violation of or contrary to the laws or regulations in any state where the Photo is created.

For all Submissions: Uploading a Submission constitutes entrant’s consent to give Sponsor a royalty-free, irrevocable, perpetual, non-exclusive license to use, reproduce, modify, publish, create derivative works from, and display such submissions in whole or in part, on a worldwide basis, and to incorporate it into other works, in any form, media or technology now known or later developed, including for promotional or marketing purposes. If necessary, entrant will sign any necessary documentation that may be required for Sponsor or its designees to make use of the non-exclusive rights entrant is granting to use the Submission. Sponsor is not responsible for lost, late, incomplete, invalid, un-intelligible or misdirected Submissions, which are disqualified. All Submissions may be used by Sponsor, whether selected as winners or not. Each entrant irrevocably waives any and all so-called moral rights they may have in the Submission.

Limit: Each entrant may upload one (1) Submission per Submission Upload Period. Multiple entrants are not permitted to share the same email address or Shaklee account. This includes team entrants. Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified. Use of any automated program to enter will result in disqualification. Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected registrations, which will be disqualified. In the event of a dispute as to any online entry, the authorized account holder of the email address used to enter will be deemed to be the entrant. Potential winners may be required to show proof of being the authorized account holder. The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address.

6. Winner Determination: Winners will be determined via the processes set forth below.

a. 180 Day Contest: After the conclusion of the 180 Contest Phase Submission Upload Period, qualified judges determined by Sponsor in its sole discretion will select the six (6) potential Grand Prize winners (two (2) female winners, two (2) male winners and two (2) winners who entered as a team) from a pool of the previous Phase 1 – 4 90 day winners based on the following skills-based criteria ("Judging Criteria"):

  • Physical Transformation based on Photos, Weight loss and Measurements (70%); and
  • Original written personal story of Transformation (30%).

In the event of a tie, Sponsor, in its sole discretion, will determine the potential Grand Prize winner based on the Submission that received the highest score in the Physical Transformation based on Photos, Weight loss and Measurements category.

b. 90 Day Contest: After the conclusion of each 90 Day Contest Phase Submission Upload Period, qualified judges determined by Sponsor in its sole discretion will select the eight (8) potential 90 Day Contest winners (three (3) female winners, three (3) male winners and two (2) winners who entered as a team) based on the following skills-based criteria (“Judging Criteria”):

  • Physical Transformation based on Photos, Weight loss and Measurements (70%); and
  • Original written personal story of Transformation (30%).

In the event of a tie, Sponsor, in its sole discretion, will determine the potential 90 Day Contest Prize winner based on the Submission that received the highest score in the Physical Transformation based on Photos, Weight loss and Measurements category.

7. Winner Requirements: Receiving a prize is contingent upon compliance with these Official Rules. Except where prohibited, each potential Contest Prize winner (parent/legal guardian if a winner is a minor in his/her place of residence) will be required to sign and return a Declaration of Compliance, Liability and Publicity Release, which must be received by Administrator within seven (7) days of the date notice or attempted notice is sent, in order to claim the prize. If a potential winner cannot be contacted, fails to execute and return the Declaration of Compliance, Liability and Publicity Release within the required time period (if applicable), or prize is returned as undeliverable, potential winner forfeits the prize. In the event that a potential Contest Prize winner is disqualified for any reason, an alternate winner will be determined by the judges in their sole discretion. If after three (3) attempts a potential Contest Prize winner is not confirmed, the applicable prize will remain un-awarded. Non-trip Prizes will be fulfilled 8 – 10 weeks after the conclusion on the Promotion Period.

Acceptance of any prize shall constitute and signify winner’s agreement and consent that Sponsor may use the winner’s name, city, state, likeness, Submission and/or prize information in connection with the Promotion, worldwide, including the Internet, without limitation and without further payment or consideration, except where prohibited by law. Without limiting the generality of these Official Rules, winner shall irrevocably grant, transfer, convey and assign to Sponsor the entirety of the rights in and to the Submission and all renewals and extensions of copyright, and the right to secure copyright registrations thereto in perpetuity including, without limitation, the rights to use the Submission for any and all purposes in any and all media whether now known or hereafter developed, on a worldwide basis, in perpetuity. Winner accepts and acknowledges that Sponsor shall not be obligated to use the Submission and that Sponsor in its sole discretion shall have the right to refrain from using the Submission. Sponsor shall not incur any liability whatsoever to the extent Sponsor chooses to refrain from any exploitation of its rights hereunder.

Winner will indemnify Sponsor, Released Parties (as defined in Section 9, below) and any licensee of Sponsor against all claims, damages, liabilities, and expenses (including reasonable counsel fees and legal expenses) arising out of any breach of these terms.

Prizes are non-transferable and no substitution will be made unless Sponsor, in its sole discretion, determines otherwise. Sponsor reserves the right to substitute a prize, or a component thereof, for one of equal or greater value should it become unavailable for any reason. Winners are responsible for reporting and paying all taxes and fees associated with prize receipt and/or use. SPONSOR IS NOT RESPONSIBLE FOR AND WILL NOT PAY ANY SUCH TAXES.

8. Contest Prizes:

a. 180 Day Contest: SIX (6) GRAND PRIZES: A trip for the winner to Paris, France. Trip package includes roundtrip coach-class air transportation for winner from an airport near winner's home (determined by Sponsor in its sole discretion) to Paris, France; six (6) nights' accommodations at a hotel determined by Sponsor in its sole discretion (single room); ground transportation between airport and hotel; an arrival and departure gift basket (contents determined by Sponsor in its sole discretion) ; an excursion in Paris (determined by Sponsor in its sole discretion); three (3) dinners (menus determined by Sponsor in its sole discretion); and a CityTour with lunch (menu determined by Sponsor in its sole discretion). Approximate Retail Value ("ARV"): $9,610. Winner must completetravel on dates determined by Sponsor in its sole discretion on or around April of 2014 or prize will be forfeited.

b. 90 Day Contest:

i. EIGHT (8) 90 DAY CONTEST PHASE 1 PRIZES: A trip for the winner to Nashville, TN. Trip package includes roundtrip coach-class air transportation for winner from an airport near winner's home (determined by Sponsor in its sole discretion) to Nashville, TN; two (2) nights' accommodations at a hotel determined by Sponsor in its sole discretion (single room); ground transportation between airport and hotel; an arrival and departure gift basket (contents determined by Sponsor in its sole discretion); one (1) dinner and one (1) lunch (menus determined by Sponsor in its sole discretion); and a River Boat Dinner Cruise (menu determined by Sponsor in its sole discretion). ARV: $3,260. Winner must travel on dates determined by Sponsor in its sole discretion or prize will be forfeited.

ii. TWENTY-FOUR (24) 90 DAY CONTEST PHASE 2, 3, AND 4 PRIZES (eight (8) per Phase): A trip for the winner to San Francisco, CA. Trip package includes roundtrip coach-class air transportation for winner from an airport near winner's home (determined by Sponsor in its sole discretion) to San Francisco, CA; two (2) nights' accommodations at a hotel determined by Sponsor in its sole discretion (single room); ground transportation between airport and hotel; an arrival and departure gift basket (contents determined by Sponsor in its sole discretion); one (1) dinner and one (1) lunch (menus determined by Sponsor in its sole discretion); and an Alcatraz Night Tour. ARV: $3,872.50. Winner must travel on dates determined by Sponsor in its sole discretion or prize will be forfeited.

c. For All Trip Prizes: Trip must be booked at least twenty-one (21) days prior to departure. Trip subject to availability and blackout dates. Travel must be round trip. Sponsor will determine airline and flight itinerary in its sole discretion. No refund or compensation will be made in the event of the cancellation or delay of any flight. Travel and accommodations are subject to availability. Travel is subject to the terms and conditions set forth in this Promotion, and those set forth by the Sponsor’s airline carrier of choice as detailed in the passenger ticket contract. All expenses and incidental travel costs not expressly stated in the package description above, including but not limited to, ground transportation, meals, incidentals, gratuities, passenger tariffs or duties, airline fees, surcharges, airport fees, service charges or facility charges, personal charges at lodging, security fees, taxes or other expenses are the responsibility solely of winner. Unless child of winner, travel companion must be eighteen (18) years of age or older as of the date of departure or a sibling/friend of winner with the appropriate parental permissions and releases and must travel on same itinerary and at the same time as the winner. If winner is a minor in his/her state of residence, winner must have the appropriate parental permissions and releases to travel. Grand Prize winners are solely responsible for obtaining a valid passport and any other documents necessary for international travel. Travel restrictions, conditions and limitations may apply.If in the judgment of Sponsor air travel is not required due to winner’s proximity to prize location, ground transportation will be substituted for round trip air travel at Sponsor’s sole discretion. Sponsor will not replace any lost, mutilated, or stolen tickets, travel vouchers or certificates. Actual value may vary based on airfare fluctuations and distance between departure and destination. Winner will not receive difference between actual and approximate retail value.

9. Release: By receipt of any prize, the applicable winner agrees to release and hold harmless Sponsor, Administrator, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Promotion or receipt or useor misuse of any prize.

10. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Consult with your physician or health care provider before starting any new exercise, nutrition or supplementation program, particularly if you suffer from any medical condition or regularly use prescription or over-the-counter medications.

11. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrant, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) technical or human error which may occur in the administration of the Promotion or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Promotion or receipt or useor misuse of any prize. Sponsor is not responsible for misdirected or undeliverable entries or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof. Sponsor and Administrator are not responsible for any typographical/other error in entries, selection announcement or for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with this Promotion. If for any reason an entrant's Submission is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another Submission into the Promotion, if it is possible. If the Promotion, or any part of it, is discontinued for any reason, Sponsor, in its sole discretion, may select the winners from entrants who participated prior to the date of discontinuance. No more than the stated number of prizes will be awarded.

12. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Promotion or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Promotion, shall be governed by, and construed in accordance with, the laws of the State of Michigan without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.

13. Miscellaneous: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials, privacy policy or terms of use on the Sponsor’s Website or Mobile App and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved at Sponsor’s sole and absolute discretion.  

14. Entrant's Personal Information: Information collected from entrant is subject to Administrator's Privacy Policy http://www.eprize.com/privacy-policy and Sponsor’s Privacy Policy http://www.shaklee.com/us/en/colophon_privacy.shtml. By participating in this Promotion, entrants are authorizing the transfer and use of personal data for purposes of administering the Promotion, conducting publicity about the Promotion and such additional purposes consistent with Promotion goals. By entering the Promotion, entrants consent to the collection, and use and disclosure of entrants’ personal information for these purposes.

Alternate Mail-in Method of Entry: To enter the Sweepstakes without a Shaklee account or purchasing Shaklee products, hand print your name, address, day and evening phone numbers, email address, and date of birth on a 3" x 5" piece of paper and mail it in an envelope with proper postage to "Shaklee 180 Rewards Program and Healthy Sweepstakes Competition," PO Box 5046 Kalamazoo, MI 49003-5046 Dept# 592766.  You will receive forty-four (44) entries into respective Entry Period drawings.  Limit: One (1) piece of paper per envelope.  All mail-in entries must be postmarked the day after the conclusion of each Entry Period and received within one (1) calendar week.  All entries become the exclusive property of Sponsor and none will be acknowledged or returned.  Proof of sending or submission will not be deemed to be proof of receipt by Sponsor.  Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible, illegible, misdirected or postage-due entries, which will be disqualified.

Limit:Each entrant may receive forty-four (44) Sweepstakes entries per day during the Promotion Period through any method, or combination of methods of entry. Multiple entrants are not permitted to share the same email address or Shaklee account. This includes team entrants.  Any attempt by any entrant to obtain more than the stated number of entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void that entrant's entries and that entrant may be disqualified.  Use of any automated program to enter will result in disqualification.  Sponsor is not responsible for lost, late, incomplete, invalid, unintelligible or misdirected registrations, which will be disqualified.  In the event of a dispute as to any online entry, the authorized account holder of the email address used to enter will be deemed to be the entrant.  Potential winners may be required to show proof of being the authorized account holder.  The “authorized account holder” is the natural person assigned an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address.

6. Winner Determination: Administrator's decisions as to the administration and operation of the Sweepstakes and selection of potential Sweepstakes winners are final and binding in all matters related to the Sweepstakes.  Administrator will randomly select the potential Sweepstakes winners from all eligible entries received for each Entry Period the Friday following when all of the mail-in entries are scheduled to be received for each respective Entry Period. Non-winning entries from each Weekly and Quarterly Entry Period will carry over into subsequent Weekly and Quarterly Entry Period drawings respectively. Sweepstakes winners will be notified by mail, email or phone after the date of the applicable drawing.

7. Winner Requirements:  Receiving a prize is contingent upon compliance with these Official Rules.  If a potential winner cannot be contacted, fails to provide any requested information within the time frame specified, or prize is returned as undeliverable, potential winner forfeits the prize.  In the event that a potential Sweepstakes Prize winner is disqualified for any reason, Sponsor will award the applicable prize to an alternate winner by random drawing from among all eligible entries for the applicable Entry Period. Only three (3) alternate drawings will be held after which the applicable prize will remain un-awarded.  Prizes will be fulfilled 8 – 10 weeks after the conclusion on the Promotion Period.   

Acceptance of any prize shall constitute and signify winner’s agreement and consent that Sponsor may use the winner’s name, city, state, likeness, and/or prize information in connection with the Sweepstakes, worldwide, including the Internet, without limitation and without further payment or consideration, except where prohibited by law. 

Winner will indemnify Sponsor, Released Parties (as defined in Section 9, below) and any licensee of Sponsor against all claims, damages, liabilities, and expenses (including reasonable counsel fees and legal expenses) arising out of any breach of these terms. 

Prizes are non-transferable and no substitution will be made unless Sponsor, in its sole discretion, determines otherwise.  Sponsor reserves the right to substitute a prize, or a component thereof, for one of equal or greater value should it become unavailable for any reason.  Winners are responsible for reporting and paying all taxes and fees associated with prize receipt and/or use.  SPONSOR IS NOT RESPONSIBLE FOR AND WILL NOT PAY ANY SUCH TAXES.

Odds:  The odds of winning a Sweepstakes prize depend on the number of eligible entries received during the applicable Entry Period. Limit: One (1) prize per person per drawing. Total ARV for all Sweepstakes Prizes: $124,300. 

9. Release: By receipt of any prize, the applicable winner agrees to release and hold harmless Sponsor, Administrator, and their respective subsidiaries, affiliates, suppliers, distributors, advertising/promotion agencies, and prize suppliers, and each of their respective parent companies and each such company’s officers, directors, employees and agents (collectively, the “Released Parties”) from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes or receipt or useor misuse of any prize.

10. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Sweepstakes, or any part of it, if any fraud, technical failures, human error or any other factor impairs the integrity or proper functioning of the Sweepstakes, as determined by Sponsor in its sole discretion.  Sponsor, in its sole discretion, reserves the right to disqualify any individual it finds to be tampering with the entry process or the operation of the Sweepstakes or to be acting in violation of the Official Rules of this or any other promotion or in an unsportsmanlike or disruptive manner.  Any attempt by any person to deliberately undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law.  Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.

Consult with your physician or health care provider before starting any new exercise, nutrition or supplementation program, particularly if you suffer from any medical condition or regularly use prescription or over-the-counter medications.
 
11. Limitations of Liability: The Released Parties are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrant, printing errors or by any of the equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; (5) late, lost, undeliverable, damaged or stolen mail; or (6) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or useor misuse of any prize.  Sponsor is not responsible for misdirected or undeliverable entries or for any technical problems, malfunctions of computer systems, servers, providers, hardware/software, lost or unavailable network connections or failed, incomplete, garbled or delayed computer transmission or any combination thereof.  Sponsor and Administrator are not responsible for any typographical/other error in entries, selection announcement or for any liability for damage to any computer system resulting from participation in, accessing or downloading information in connection with this Sweepstakes.  If for any reason an entrant's entry or entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another entry in the Sweepstakes, if it is possible.  If the Sweepstakes, or any part of it, is discontinued for any reason, Sponsor, in its sole discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the prizes offered herein.  No more than the stated number of prizes will be awarded.  In the event that production, technical, seeding, programming or any other reasons cause more than the stated number of prizes as set forth in these Official Rules to be available and/or claimed, Sponsor reserves the right to award only the stated number of prizes by a random drawing among all legitimate, un-awarded, eligible prize claims. 

12. Disputes: Except where prohibited, entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the United States District Court for the Eastern District of Michigan (Southern Division) or the appropriate Michigan State Court located in Oakland County, Michigan; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes, but in no event attorneys’ fees; and (3) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Michigan without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.

13.  Miscellaneous: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. In the event that any provision of the Official Rules is determined to be invalid or otherwise unenforceable or illegal, the other provisions will remain in effect and will be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor’s failure to enforce any term of these Official Rules will not constitute a waiver of that provision. Entrants agree to waive any rights to claim ambiguity of these Official Rules. Headings are solely for convenience of reference and will not be deemed to affect in any manner the meaning or intent of the documents or any provision hereof. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Sweepstakes-related materials, privacy policy or terms of use on the Sponsor’s Website or Mobile App and/or the terms and conditions of the Official Rules, the Official Rules shall prevail, govern and control and the discrepancy will be resolved at Sponsor’s sole and absolute discretion.  

14. Entrant's Personal Information: Information collected from entrant is subject to Administrator's Privacy Policy http://www.eprize.com/privacy-policy and Sponsor’s Privacy Policy http://www.shaklee.com/us/en/colophon_privacy.shtml.   By participating in this Sweepstakes, entrants are authorizing the transfer and use of personal data for purposes of administering the Sweepstakes, conducting publicity about the Sweepstakes and such additional purposes consistent with Sweepstakes goals. By entering the Sweepstakes, entrants consent to the collection, and use and disclosure of entrants’ personal information for these purposes.

1. Overview
Shaklee Corporation and its affiliates ("Shaklee," "we," or "us"), including Shaklee Canada Inc., provide online and mobile services including, but not limited to, Shaklee Web sites, widgets, computer programs, and mobile applications hosted by or on behalf of Shaklee (collectively, the "Shaklee Services") intended to enhance a consumer's use of the Shaklee 180™ comprehensive lifestyle program that includes weight-loss products, nutritional products, exercise recommendations, social support, meal planning guidelines, health education content, and self-monitoring tools (the "Shaklee Products").
THIS IS A LEGAL AGREEMENT BETWEEN YOU AND SHAKLEE AND GOVERNS YOUR USE OF THE SHAKLEE SERVICES.
Subject to your acceptance of and adherence to these Terms of Use (the "Terms of Use"), Shaklee hereby grants you a limited, non-exclusive license to utilize the Shaklee Services as set forth herein. The terms "you" and "user" shall refer to all individuals and entities that access the Shaklee Services.
By your affirmative actions of registering for and/or using the Shaklee Services, you signify your agreement to these Terms of Use and our Privacy Policy (together, the "Agreements") and consent to allow Shaklee to communicate with you electronically regarding Shaklee Products and the Shaklee Services.

2. Modifications to the Terms of Use

We may make changes to the Terms of Use from time to time. A link to the most current Terms of Use will be available on the Shaklee180 home page and we will indicate the date of the "Latest Update" at the top of the Terms of Use. We may also place a special notice on the Shaklee Services or communicate significant changes by e-mail. Your continued use of the Shaklee Services following the posting of such changes constitutes your acceptance of the Amended Terms of Use.

3. Requirements for Use of the Shaklee Services
If you are under the age of 18, you should review this Agreement with your parent or guardian to make sure that you and your parent or guardian understand it.
Full use of the Shaklee Services requires Internet access and certain software that may require periodic updates and may be affected by the performance of these factors. The Shaklee Services are not a guaranteed part of any third-party product or service offering, and no purchase or obtaining of any third-party product or service shall be construed to represent or guarantee you access to the Shaklee Services.
Please see the section entitled "Precautions" below for recommended precautions related to your use of the Shaklee Products and the Shaklee Services.

4. Agency
You represent that you are using the Shaklee Services for their intended purpose. If you are registering or using the Shaklee Services on behalf of a company or other organization, you represent that you have authority to bind your employer by your actions.

5. Precautions
Content found through the Shaklee Services is for informational purposes only and is not intended to replace the relationship between you and your health care practitioner or other medical provider. We are not a licensed medical care provider and have no expertise in diagnosing, examining, or treating medical conditions of any kind, or in determining the effect of any specific exercise on a medical condition. You should always consult a health care practitioner before starting a fitness program or changing your diet or if you have any questions regarding a medical condition. Never disregard professional medical advice or delay in seeking it because of something you have read on or through the Shaklee Services. You should consult with your health care practitioner before following any training instructions you receive through the Shaklee Services or participating in any event announced on or through the Shaklee Services. Not all exercises or activities described on the Shaklee Services are suitable for everyone. Shaklee 180 workouts are physically demanding and are primarily designed for people who already have some level of fitness. You should understand that when participating in any exercise or exercise program there is the possibility of physical injury and/or death. If you think you may have a medical emergency, call your health care practitioner or 911 immediately. If you feel discomfort or pain, immediately stop the activity causing such discomfort or pain if symptoms do not resolve. By using the Shaklee Services, you represent that you have received consent from your health care practitioner to participate in the programs, workouts, and exercises described on the Shaklee Services.

We are not responsible for any health problems that may result from Shaklee 180 workouts or other training programs, Shaklee products, or events you learn about through the Shaklee Services. If you engage in any exercise program you receive or learn about through the Shaklee Services, you agree that you do so at your own risk and are voluntarily participating in these activities.

6. Information About the Shaklee Services
We try to provide helpful and accurate information about the Shaklee Services but we make no endorsement, representation, or warranty of any kind about any information, services, or recommendations made available through the Shaklee Services. We are not responsible for the accuracy, reliability, effectiveness, or correct use of information you receive through the Shaklee Services. If you rely on any information provided by Shaklee, Shaklee employees, or others appearing on or contributing content to the Shaklee Services, you do so solely at your own risk.

7. Your Privacy Settings
Through the Shaklee Services, we enable you, if you wish, to share information with others, as this is an important motivator to achieve health, wellness, and fitness goals. You can use the privacy settings within the Shaklee Services to control which information about you is shared with others.

8. User-Generated Content

Subject to Shaklee's adherence with the privacy settings you select within the Shaklee Services, you hereby grant to Shaklee a perpetual, irrevocable, non-exclusive, worldwide, royalty-free licence, with the right to sublicense, to reproduce, distribute, transmit, publicly perform, publicly display, digitally perform, modify, create derivative works of, and otherwise use and commercially exploit any text, photographs, entries, testimonials, or other data and information you submit to the Shaklee Services (collectively, "User-Generated Content") in any media now existing or hereafter developed, including without limitation on Web sites, in the mobile application, in audio and video format, and in any print media format.
"User-Generated Content" includes but is not limited to content posted on or with the Shaklee Services including survey results, message board posts, blogs, social media posts, journals, food and recipe submissions, and user comments. Subject to Shaklee's adherence to the privacy settings you select within the Shaklee Services, you hereby waive any rights of publicity and privacy with respect to the User-Generated Content and any other legal or moral rights that might preclude Shaklee's use of the User-Generated Content or require your permission for Shaklee to use the User-Generated Content. You agree not to assert any claim, whether based on tort, contract, or other legal theory, against Shaklee or its sublicensees relating to Shaklee's or its sublicensees' use of the User-Generated Content in accordance with your privacy settings, and you hereby release Shaklee and its sublicensees from any such claims.
You represent that your User-Generated Content: (1) will not infringe any third party's copyright, patent, trademark, trade secret ,or other proprietary rights; (2) will not violate any law, statute, ordinance, or regulation; (3) will not be obscene or contain child pornography; (4) will not contain any viruses, worms, time bombs, or other computer programming code that is intended to damage, detrimentally interfere with, surreptitiously intercept, or expropriate any system, data, or information; (5) will not violate any third party's rights of publicity or privacy; and (6) will not be defamatory, unlawfully threatening or harassing, harmful to minors in any way, or otherwise offensive or inappropriate. You are responsible for complying with all laws applicable to your User-Generated Content.

9. Registration and Password; Privacy Policy
You are responsible for maintaining the confidentiality of your login information and password. You shall be responsible for all uses of your login information, whether or not authorized by you. You agree to immediately notify us of any unauthorized use of your login information or password. Shaklee cannot and does not assume any responsibility or liability for any information submitted by someone who has fraudulently accessed your Shaklee account or for any third party's fraudulent use or misuse of information submitted by you.

You represent that the information that you provide about yourself as requested in the account registration form (the "Registration Data") is accurate and complete, and you agree to update your account information, as necessary, including providing Shaklee with your current e-mail address, so that you may receive notifications and other account-related communications.

The Shaklee Services are subject to the Shaklee Privacy Policy, which can be found at www.Shaklee.com/privacy.

10. Ownership of the Shaklee Services

Except for the User-Generated Content, the Shaklee Services and all aspects thereof, including all copyrights, trademarks, and other intellectual property rights therein, are owned by Shaklee or its licensors. You acknowledge that the Shaklee Services and any underlying technology used in connection with the Shaklee Services contain Shaklee's intellectual property and proprietary information. You may not reproduce, distribute, modify, create derivative works of, publicly display (including by framing any content), or commercially exploit any part of the Shaklee Services except as necessary to view the content therein and to create a reasonable number of copies of portions of such content (without modification) for your personal, non-commercial use. All rights in the Shaklee Services not expressly granted to you by Shaklee are retained by Shaklee and its licensors.
If you violate any of these Terms of Use, your permission to use the Shaklee Services automatically terminates and you must immediately destroy any copies you have made of any portion of the Shaklee Services.

11. E-mail Rules
Some of our users will make their e-mail addresses available if they wish to converse with other users and/or Specialists with similar interests or goals. If you use this information, you agree not to transmit "spam" or other unwanted solicitations or any material that is harassing, threatening, offensive, obscene, abusive, harmful, defamatory, invasive of another's privacy, infringing of another's intellectual property rights, or illegal. Users found using e-mail information in this manner may have their user accounts terminated. We are not responsible for the content of e-mail messages sent to you by users and/or Specialists or from third parties.

12. Community Pages
There are several areas on the Shaklee Services on which users may post information including social media, Web sites, message boards, videos, and photos (collectively, "Community Pages"). Any information posted to the Community Pages may be viewed by anyone who visits the Shaklee Services (whether or not such visitors are registered users). Shaklee does not endorse any information posted on the Community Pages and posts made by users do not necessarily reflect the views of Shaklee. Information on the Community Pages should not be taken as medical advice and we are not responsible for such information or for editing any factual errors or making any type of corrections to such information. Any action taken by you based on information presented on the Community Pages is at your own risk.
By using our Community Pages, you agree to adhere to the following community guidelines:

  • Be respectful of the opinions of others. Even though you might not agree with someone, that doesn't mean that person is wrong or deserves to be belittled. Remember that what works for you may not work for everyone else. Give everyone the same courtesy you would expect in return. Do not post profane or explicit content
  • Do not post profile pictures that might be considered inappropriate.
  • Do not post communications that could be interpreted as threatening or harassing.
  • Do not post, advertise, or promote products commercially.

Shaklee has the right to remove a post on the Community Pages if it does not meet these standards or for any other reason Shaklee deems appropriate.

13. Copyrighted Materials

You agree that any materials posted by you shall not infringe or violate the rights of any other party or violate any laws, contribute to or encourage infringing or otherwise unlawful conduct, or otherwise be obscene, objectionable, or in poor taste. You also agree that you have obtained all necessary rights and licences required to allow the posting of any content posted by you.

14. User Indemnification of Shaklee
Upon request by us, you agree to defend, indemnify, and hold Shaklee and its partners, affiliates, service providers, licensors, officers, directors, employees, and agents harmless from and against any and all losses, liabilities, damages, and costs, including but not limited to reasonable legal and accounting fees, arising from any claims, actions, or demands related to or alleged to relate to: (a) your use of the Shaklee Services, including any User-Generated Content you post, store, reproduce, display, or distribute via the Shaklee Services; (b) your violation of the Terms of Use; or (c) your violation of any intellectual property or other third-party rights or any applicable law in connection with your use of the Shaklee Services. We reserve the right to assume control of the defence of any third-party claim that is subject to indemnification by you, in which event you will cooperate with us in asserting and available defences.

15. User Conduct
If we determine that any user is not using the Shaklee Services responsibly, we have the right (but not the obligation) to remove, edit, block, or delete such user's transmissions, User-Generated Content, or use of the Shaklee Services. We also have the right (but not the obligation) to suspend or terminate your access to and use of Community Pages or other parts of the Shaklee Services, or delete information you have posted to the Shaklee Services, without prior notice if you engage in any conduct that we believe, in our sole discretion: (a) violates any provision of the Terms of Use; (b) violates the Community Page guidelines; (c) is offensive to other users; (d) violates the rights of Shaklee or third parties; or (e) could cause Shaklee liability. Without limiting the foregoing, upon any termination of your account or access to the Shaklee Services we may delete all User-Generated Content and other information related to your Community Pages. If Shaklee suspects that your Registration Data is inaccurate or incomplete, we may suspend or terminate your account.

16. Changes to Shaklee Services
Shaklee may change or discontinue, temporarily or permanently, any feature or component of the Shaklee Services at any time without further notice. You shall bring any legal action or proceeding against Shaklee related to the Shaklee Services exclusively in a federal or state court of competent jurisdiction sitting in San Francisco County, California, and you agree to submit to the personal and exclusive jurisdiction of such courts. If any provision(s) of the Terms of Use is found to be contrary to law, then such provision(s) will be construed, as nearly as possible, to reflect the intentions of the parties with the other provisions remaining in full force and effect. Shaklee's failure to exercise or enforce any right or provision of the Terms of Use will not constitute a waiver of such right or provision unless acknowledged and agreed to by Shaklee in writing. These terms and conditions constitute the entire agreement between you and Shaklee with respect to the subject matter herein and supersede any and all prior or contemporaneous oral or written agreements. You may not assign this agreement to any other party and any attempt to do so is void.
